摘要
新《公司法》明确规定上市公司设立独立董事制度,但是在实践中没有明确如何操作,本文就设立独立董事需要注意的问题加以阐述,来完善公司的外部监督,成为有中国特色的公司监督机构。
The new ＂Law＂ explicitly require listed companies to set up an independent director system, however, no clear in practice how to do this on the establishment of independent directors need to pay attention to elaborate on the issue, to improve the company＇s external oversight, as with Chinese characteristics corporate oversight.
