摘要
传统的董事会治理主流研究以代理理论为基础,强调正式结构的作用,具有一定的局限性。新兴的行为视角研究通过打开董事会黑箱,探讨其运作过程的内在规律,成为董事会治理研究的一个前沿。对该研究范式的背景、基本框架及研究内容进行了全面综述,并对其未来的主要发展方向之一——基于当责的董事会有效性研究进行了展望。
The traditional mainstream research of board governance has its limitations,based on agency theory and emphasizing the role of formal structure.The research from a new behavioral perspective has become the frontier in the board governance research by opening the black box and exploring the internal laws of its operation.This paper reviews the background,basic framework and content of the new research paradigm and prospects one of the major future directions——the research of the board effectiveness based on accountability.
