摘要
本文从并购战略理论、企业动态能力理论等多重理论角度出发,首先对当前中国银行业所发生的典型而不同的并购模式与影响要素进行了分析与归类,创新性地设计了一个战略性并购下的银行业动态能力模型。该模型指出并购模式的选择受到环境的深刻影响并且与绩效密切相关。作者最后基于当前中国银行业的并购战略行为所提出的有关提升中国银行业动态能力的几个研究性结论,期望能对中国银行业进一步深化改革、不断提升银行服务竞争力有重要的启示意义。
The paper starts with merger and acquisition(M&A)based theory, and this paper deploys M&A strategy theory, corporate dynamic capability theory, corporate expansion four-dimension model,etc, and then categorizes and analyses the typical horizontal M&A modes and the relevant influencing factors in china's banking industry from the involving parties perspectives, whichever are domestic or foreign banks. Innovatively, author designs a M&A Strategy Based Banking Dynamic Capabilities researching models, which indicates that the industry environment significantly influences M&A modes selection process, and the respective M&A modes is tightly correlates with Post-M&A enterprise performance.The deriving research conclusions about enhancing dynamic capability of china banking industry based on the M&A strategy may have their enlighten significance for forward progressing reformation in china banking industry.
