摘要
劳务出资是指股东以精神上和身体上的劳务作为出资取得股东身份。我国公司法修订后,劳务出资问题被推到了风口浪尖之上,成为理论界的一个热点问题,众多学者对此各抒己见,形成了不同的观点。文中从一个全新的角度——法经济学的视角出发,从理性人假设、博弈论分析、守法成本等几个方面对劳务出资的合理性、运用法律对劳务出资进行规制的必要性和劳务出资法律规范的选择等问题进行了分析和论证。
The service investment refers to that the shareholder obtains the shareholder-status by the spiritual or the bodily service as the investment.After revision of China corporation law,the service investment problem was advanced above the keenest struggle,becomes a hot topic which the theorists discussed,and have formed many different viewpoints.In this article the author embarks from a brand-new angle-angle of law economic view,from the rational person supposition,the game theory analysis,the cost of obeying the law and other several aspects to the service investment rationality, carries on the rules and regulations using the law to the service investment necessity and service investment law standard choice, and so on, has carried on the analysis.
