摘要
本文借助剖析北京第一机床厂并购德国阿尔道夫.瓦德里希科堡公司的典型案例,揭示出组织信心在并购中的地位和作用,并就并购方立足提升组织信心应采取的策略提出建议。文章认为,组织信心影响并购成败;并购中存在着并购方、目标公司和出售方等的多种不同信心状态;各当事方的信心状态及其相互作用,制约着并购交易和并购整合工作的推进;并购方需要保持对并购中组织信心的敏感性,并通过利用、改变自身及其他当事方的信心来提高并购成功的概率。
This paper tries to develop a theoretical framework of organizational confidence in M&A based on the case study of Beijing No. 1 Machine Tool acquiring Waldrich Coburg. The study offers organizational confidence as a new factor affecting the success of M&A and finds out that there is a confidence system in M&A which includes each participant's several confidence conditions. These confidence conditions affect each other and play an important role in the process of transaction and integration of a M&A. The acquirer should leverage or adjust all the participants' confidence conditions to make a M&A succeed.
