摘要
股东派生诉讼激励机制在公司法中的缺失是导致中小股东诉讼积极性不高的重要原因,在结合国外激励股东派生诉讼立法启示的基础上,提出设立激励基金这一构想,并从激励基金的资金来源、管理主体及支付程序方面分析了该设计的可行性.
PAN Hai - yang Abstract： Incentives about Shareholder＇s Derivative Action is missing in Company Law led to shareholders performance enthusiasm in lawsuit,on the basis of enlightenment from abroad legislation on the incentives for Shareholder Derivative Action, this article advice to set up an Incentive Fund, analysis the feasibility of this design from the sources of raising funds, the main manager and the use of the procedure.
