摘要
本文通过对CEO的涵义、实质、领导体制和实行CEO制度的基本条件的分析,认为目前中国国有企业在所有者未真正到位,企业为内部人所控制,董事会不能维护全体股东利益,股东对管理者行使公司权力缺乏有效的监督和约束,以及企业领导人又缺少企业家素质的状况下,不宜推行强调集权、突出经营者权力和地位的CEO制度。
This essay discusses the definition, substance ami system of organization of CEO, analyzes the basic conditions in practicing CEO system. It argues that in the context of owner's absence from its position, enterprises managed by intemal individuals, the board of dkectors can't safeguard the interests of ail shareholders, which lacks supervision to the power of managers ,and the managers lack quality as enterprisers , Under these circumstances,the practice of CEO system, which emphasizes the centralization of running power and applies CEO itself power and poststion forward, is not suggested.
