详细阐述了现代企业制度的概念和特点，介绍了现代企业制度的发展历史，最后从三个方面指出了中国建立现代企业制度的难点和出路。
In this paper,the concept and characteristics of modern enterprise system areprcsented in details, and the development history of modern enterprise system is introduced.Finally, the difflculties in the establishment of modern enterprise system as well as its outletsin China are pointed out from three aspects.
