摘要
本文在全面考察日本近年来有关公司法律制度修订情况的基础上,解读了日本修订后的主要公司法律内容。日本公司法律制度修订对公司治理效率产生了积极影响,主要表现在:加强保护投资者权利;由事先管制转变为事后监控;强化外部治理机制;增强内部治理机制的灵活性;实现公司的电子化等方面。日本公司法律制度的修订对我国完善公司治理机制有重要的启示。
On the basis of a comprehensive study that the Japanese company has amended the legal system in recent years,this dissertation interprets the main amended content of Japanese Company Law. The amendments to Japan＇ s corporate legal system have had a positive impact on the corporate governance efficiency. Mainly display in： Strengthen the protection of the investor rights;Transform controlling beforehand to monitoring afterward;Strengthen the external government mechanism;Enhance the flexibility of the internal government mechanism;Achieve the company＇ s electronic and so on. In order to improve China＇ s corporate governance mechanism, we can get an important inspiration from the amendments to Japan＇ s corporate legal system.
