摘要
独立性是信用证最根本的属性,是信用证制度得以存在和发展的基石。一般认为,独立性原则意味着信用证一经开立即与基础合同相分离,成为独立的法律文件。然而,结合实践中真实案例的分析发现,信用证的独立性并非绝对,它有特定的适用范围:从对象上来看,它仅适用于银行和受益人之间,不适用于买卖合同双方;从适用阶段上来看,它仅适用于自信用证开立时起至银行付款时止的一段期间,不适用于开证前或者付款后。而且,独立性原则并非意味着彻底剥离信用证与其基础合同的关系,某种程度上,信用证的存在能够印证基础合同的成立。
Independence is the basic attribute of L/C, and the foundation stone of the existence and development of the L/C system. Generally thinking, independence principle means that once drawed, the L/C will separate mutually with its basic contracts, and become an independent instrument. However, the analysis on true cases in practice tells, the independence principle should not be absolutely applied, it has particular application scope: seen from the objects, it is applicable just in the relationship between the bank and beneficiary, but not that between the parties of the contract; seen from the period, it just applicable in the period that starts from the time of the drawing of the L/C and ends at the time of payment by bank, but not the period before the drawing of L/C or after the payment. Furthermore, independence principle doesn' t mean that the L/C is thoroughly separated from the basic contract, to some extent, the existence of the L/C can corroborate the conclusion of the basic contract.
