公司董事之雇员身份论

On the Identity of Corp's Director as a Company Employee

摘要 文章认为确定雇员身份应该以是否为雇主提供劳动作为判断标准,不应以势力的强弱作为标准,董事作为管理者向公司提供劳动因此属于雇员;在合同基本理论上,公司作为独立人格之法律实体,是劳动合同关系中的一方即雇主;董事受聘于公司,则为合同的另一方即雇员,不应否定董事受托人和劳动者的双重身份;作为一个职位,并非所有的公司的董事总处于强势地位,董事同样需要劳动法的保护,为此应承认其雇员身份。 This paper claims that the identity of an employee should be confirmed from whether he offers labor to his employer, but not from his authority. Directors as management personnel offer work to the corporation, so he should be an employee. In the basic theory of contract, as an independent legal entity, the corporation is the employer in the labor contract. Employed by the corp., the directors are actually the employees, having double identities, i.e. trustees and employees. As a job, not all the directors in a corp. are in a powerful position. They also need the protection of the Law of Laborers. Thus, their identity of an employee is undoubted.
