摘要
独立性是独立董事和独立董事制度的基础。因为我国上市公司特有的股权结构,立法要求独立董事不仅独立于公司管理层,而且也要独立于大股东。文章认为,增加独立董事在董事会中的数量和比例将有效提高整体的独立性,而恰到好处的激励和约束机制才能保证独立董事充分发挥其独立性。
Independence is the foundation of independent director and independent director system.Legislation stipulates that independent directors are not only independent of the administrative office but also the large shareholders because listed companies in our country have special share ownership structure. This study shows that increasing in quantity and proportion of independent directors on the board will improve independence as a whole effectively.However,appropriate motivating and monitoring mechanism are able to ensure independent directors bring the independence of them into full play.
