摘要
控制权私有收益体现着控股股东对中小股东利益的侵占。大股东侵害中小股东及其相关利益者利益已引起社会的关注。因此,为降低大股东侵害能力、提高中小股东合法利益的保护,应该从股权结构和治理环境两个方面找到着力点。
Private benefits of control （PBC） embody controlling shareholders＇ s invasion and occupation of the benefits of small and medium shareholders. That controlling shareholders invade and occupy the benefits of small and medium shareholders has attracted the at- tention of the society. Therefore in order to reduce the invasion power of controlling shareholders and protect the lawful rights of small and medium shareholders, shareholding structure and governance environment should be the emphasis of efforts.
