创新民办教育的营利模式——一个现代商行为的法律规制视角 被引量:5

Innovations of Profit-making Model in the Civilian-run Education: with a Regard to the Relevant Law and Regulation of Modern Commercial Behavior

摘要 我国民办教育能否名正言顺地投资营利,法律上一直未有明确,给其进一步发展带来障碍。本文在对西方私立学校营利与非营利分类规制的立法经验考察后提出,立足国情,民办教育也应分类管理,将营利性民办教育纳入商行为法律调整范畴,颇为必要和可行。同时,本文提出了相应修法建议:如应突破《教育法》第25条,明文规定营利性民办学校适用有关公司法规定,细化投资回报、加强审计监督、成立民间评估组织等。 There have not been regulations on whether civilian-run education organization(CREOs)are allowed to make profits, which produce an obstacle for further CREOs’ development. So, the author suggests that two different regulation forms should be produced for profit making and nonprofit making ones, after an investigation into the western legislation experience. Moreover, in the light of the national realities, those profit-seeking activities of CREOs should be regulated as a commercial juristic act, for encouraging investments in civilian-run education. At last, the author makes some suggestions: such as revising the article 25 of the education law, stipulating to apply the company law to those profit-making CREOs, specifying profit regulation, strengthening auditing, and establishing non-government evaluating association of civilian-run education.
