摘要
随着经济的发展,美、德、日公司董事会模式都不同程度的暴露出其自身的缺陷,需要进行变革和调整。文章在对各种模式的缺陷及改革进行系统研究的基础上,分析了中国公司董事会在借鉴国外经验时应注意的问题,并针对中国的资本市场状况,明确地提出了目前中国上市公司的董事会模式。
According to the development of economic development, there are some defectives appeared in the model of board of director in America, Germany and Japan, which need to be changed and adjusted. Based on the defectives, the paper analyzed the method of reform and proposed the model of listed company＇ s board of director recent years according to the capital market in China.
