摘要
在分析我国企业在南亚某国进行BOT项目面临主要风险的基础上,按照风险分配和管理框架对特许权协议的关键条款进行了仔细的设计和详尽的分析,并分别列出了最低的、可退让的和应争取的要求,最后对各条款的不同情况进行组合并提出了选择的模型。
On the basis of identifying key risks for Chinese enterprises carrying out BOT projects in a country of southern Asia, this paper designs key concession agreement clauses elaborately in accordance to the risk allocation and management framework. Then it gives three situations for each clause, pessimistic, step aside and optimistic, and at last it lists some combinations of these clauses and recommends a selection method.
