摘要
本文从两个典型案例出发,对导致民营企业跨所有制并购失败的地方政府行为异化现象进行了描述和解析,揭示了多元产权结构下企业并购过程中的政府行为选择并非出于意识形态偏好,而是与其经济和政治利益密切相关。
In the background of state-owned economy structure adjustment, private enterprises bring about a wave tide of trans-ownership acquisition. However, although some private enterprises succeeded during this process, many others bogged down after a short initial honeymoon period, especially small and medium private enterprises. The previous research on the reasons for M&A, either largely attributing the M&A failure to enterprise factors, or mainly focusing on the government intervention of state-owned enterprises ' M&A activities, has not given convincing explanations for private enterprises' trans-ownership M&A failure in China. In this paper an attempt has been made to explore the alienation of local government hiding in the private enterprises' trans-ownership M&A failure based on public choice theory and case study.
