摘要
美国反债务人欺诈性转让的立法已有近百年历史,《统一欺诈性转让法》是其最新法律思想的结晶。这部法律凝聚了先进的立法思想,最为核心的内容是对欺诈性转让的审查要素。该法总结了美国实践中各种诈害债权人的行为,有效地解决了债务人滥用有限责任的问题,对我国在保全债权和反欺诈方面的立法具有借鉴意义。
The law against fraudulent transfer has a history of almost a century. The Uniform Fraudulent Transfers Act （ UFTA）, with the element test as its core, is the latest embodiment of the legal thoughts in this area. The Act summarizes various fraudulent acts against creditors in practice and effectively solves the problem of abuse of limited liability by the debtor. It is of reference value to China in the area of anti-fraud legislation.
