摘要
企业家人力资本参与企业产权分配的不同模式及由此形成的相机治理直接影响企业家人力资本的受激励水平、程度以及企业治理效率。从历史、现实的逻辑对3种典型的企业形态中企业家人力资本参与企业产权分配进行考察,并提出现代股份制企业中剩余索取权和剩余控制权对称安排是企业家人力资本参与企业产权分配的终极方向。
The difference modes for the participation of entrepreneur human capital in enterprise property right and the related governance directly affect the animating extent of entrepreneur human capital and the efficiency of enterprise governance. From historical and realistic logic, this article investigates the participation of entrepreneur human capital in the enterprise property right for three typical enterprise shapes, and proposes that the symmetrical arrangement of residual claim right and residual control right is the ultimate way for the participation of entrepreneur human capital in the enterprise property right in the modern stock- company.
