摘要
股权结构作为商业银行法人治理的核心,对银行的决策机制、管理机制、激励机制与约束机制起着举足轻重的作用。笔者通过对美国、日本和德国商业银行的股权结构进行国际比较,发现它们虽然都是世界上金融体系最发达的国家,但股权结构却存在着很大差别。可见,没有放之四海而皆准的统一模式。在对我国商业银行的股权进行改革时,必须立足国情,建立有中国特色的商业银行股权结构。
As the core of corporate governance of commercial hanks, the ownership structure is playing a pivotal role to the mechanism of decision-making, management, motivation and restraint. Through the international comparison of ownership structure of American, Japanese and German banks, the author discovered that there are wide differences among them. Obviously,there is no universally applicable unified pattern. Therefore, when carrying on the reform of commercial banks, we must establish the ownership structure with Chinese characteristics basing on the situation of China.
