摘要
“红顶商人”胡雪岩的财富帝国似乎是在一夜间烟消云散的。实际上在他事业成功的道路上已然隐含了令其败落的因素。胡雪岩因依傍官府(公权力)获取财富,最终又因离权力太近而身受其害。这个故事从一个侧面揭示出现实中官商关系的不对等或不均衡性。前近代的法律框架缺乏公域和私域、(公共)权力与(私人)权利的法律界分,作为公权代表的官府可以轻松地跨入当下人们认为属于私法的领域。面对过于强大的公权力,商人(以及其所代表的私权利)虽然有时也能借机谋得一些好处,但在整体上则始终处于从属和被利用的地位。若法律不能确保公、私领域界限分明,厘清公权力的职责所在,并时刻提防其越界,则以私权利为核心的商业秩序将难有自发形成的机会。
HU Xue-yan was a famous businessman in the late Tsing Dynasty. His success in business could be attributed to approaching the government, but it damaged HU's commerce empire in the end. The legal system of HU's time had no separation of public field and private field. In many circumstances, the private field, merchants and their private rights were overshadowed by the public field, government/mandarins, and public powers. HU's story unveils the imparity between mandarins and merchants. As a rule, the latter is appurtenant to, and utilized by the former. Therefore, it is necessary for the legislator to define the boundary of public power and civil right. Otherwise, the "nomos" of business would never come into being.
