摘要
要从根本上确保独立董事的独立性,必须切实改革现行的董事制度,实行独立董事委派制。独立董事委派制有利于监督和制约大股东,有利于加强对国有资产监督管理,有利于促进党风廉政建设。
The construction of independent directors appointment is analyzed in this paper. Independence is the main feature of independent directors. On the basis of the independence, independent directors can probably become an effective management mechanism. This paper discusses the standard of independence then the problem of the independence of the Chinese independent directors is studied with the principal - agent theory.
