摘要
制度是人们交换活动和发生联系的行为准则,它是由生活在其中的人们选择和决定的,反过来又规定着人们的行为,决定了人们行为的特殊方式和社会特征。政府对管理层收购行为的规制,对维护市场秩序,起到了积极的作用。但是,由于规制本身的内在缺陷和规制方式的内在矛盾,使得政府也存在着“规制失灵”的情况。因此,对管理层收购中存在的制度风险进行分析至关重要。
System consists of codes of conducts for human being's exchanges and social connections, which is chosen and decided by human being and conversely regulates human being's behaviors and determines his styles and social characters. Government regulation regarding MBO plays positive roles for maintaining market order. However, the inherent deficiencies and contradictions of system lead ineffective government regulation. Thus, it is of vital importance to analyze systemic risks associated with MBO.
