摘要
一人公司系指股东仅为一人,并由该股东持有公司的全部出资或所有股份的有限公司(包括有限责任公司和股份有限公司)。一人公司的产生并非偶然现象,而是有着深厚的现实基础。在我国,国家的宏观经济政策为实行一人公司制度提供了政策支持;市场经济的发展为一人公司制度提供了物质基础;投资者的理性选择是建立一人公司制度的主观要求。所以,一人公司制度在我国具有可行性。
The one man company refers to a limited company whose capital or shares are wholely owned by one shareholder. It is not by chance for oneman company to come into being, but with profound basis of reality. In China the macroscopical policy of the country provides support for the legal institution of such kind of company; the development of the market economy provides the material basis for the institution; and the rational choice by investors expresses the subjective demand for the institution for oneman company; and so on. Since it is feasible for the institution of one - man company to establish in our country.
