摘要
公司法人人格否认制度作为解决公司人格滥用问题的一种有效措施,在发达的市场经济国家己被广泛运用,但我国对其了解和研究尚嫌不足,有关法律亦无明确规定。本文运用价值分析的方法,从经济法价值方面分析了该制度的价值目标及其合法性原则,阐述了公司法人人格否认制度的概念、意义和价值论基础,以期对我国引进该制度,促进公司法规范的完善有所裨益。
As an effective measurement to solve the abuse of corporate personality, disregarding of corporate personality is broadly adopted in developed countries. But in our country, the understanding and research on this system are inadequate, there is no definite provisions in relevant law. In this thesis, the author makes use of values analyses, analyzes this system＇ values goal, legitimate principle, and also expounds this system＇s concept, meaning, and the foundation of values. The author also hopes it is helpful to establishment and perfection of our modem enterprise system.
