摘要
从利益相关者理论出发,结合我国国有商业银行改革与发展的特殊性,提出构建和完善我国国有商业银行公司治理结构应充分考虑各利益相关群体的利益,实施利益相关者治理。同时,应当在考虑我国经济条件、法律制度、文化传统等方面特点的情况下,充分借鉴发达国家公司治理模式,以促进我国国有商业银行国际竞争力和资源配置效率的提高。
This paper upholds the Stakeholder Theory and takes into account the specialties of the reform and development of our state-owned commercial banks. Then it suggests that we should consider fully the interests of each stakeholder group and implement stakeholder governance so as to establish and improve the corporate governance of our state-owned commercial banks. Mean- while, we should make decisions in accordance with the characteristics of our economic condition, legal institution and cultural tradition, and use the advanced countries＇ corporate governance models for reference. Only thus can our state-owned commercial banks enhance their international competitive power and improve their resources allocation efficiency.
