摘要
本文针对目前我国公司法运行过程中出现的突出问题即公司股东或投资人滥用公司法人人格与有限责任制度,损害债权人合法利益问题,提出应在公司法中规定公司法人人格否定的相关条款,并在司法实践中谨慎运用,以保护债权人合法财产权和社会公众利益,补充和完善公司有限责任和独立人格制度。
This text aims at the outstanding problem that movement appear in the process of current our company law namely company shareholder or investors abuse the company personality and limited liability system, injure the legal benefits in creditor problem, putting forward to rule the personality negative and related item in company law, and in judicatory practice careful application, to protect the legal property right in creditor with the social public benefits, complement with perfect company limited liability with independent personality system.
