摘要
资源型城市在长期发展过程中形成的"沉积",不仅制约了其经济转型,也给国有企业改制增加了困难,导致目前所普遍采用的员工身份置换和管理层持股方式在资源型城市国有企业改制实践中缺乏有效性。根据资源型城市的特点,结合产权制度改革理论,提出在员工身份转换过程中对不同员工分别采取现金补偿和股权补偿两种不同方式,并实行不同的投资优惠政策,对管理层持股应主要采取激励型股权,并根据不同的股权结构对管理层投资股权比例做相应的限制。
The 'sediment' formed in the process of long-term development of resource-based cities not only restricts its economic structure transform, but also increases the difficulties for state-owned enterprise, and it makes current reforming ways of staff's identity replacing and managers share holding mode lacking efficiency in state-owned enterprises reform of resource-based cities.According to the characteristics of resource-based cities and property right reform theory,the paper put forward that cash compensation and share right compensation should be respectively taken, and discrepant investment favorable policy should be taken also, for different staff in the process of staff's identity replacing.For managers share holding, the stimulant share ownership should be adopted as main type,and corresponding restrict should be set up for managers investment share ownership according to share ownership structure.
