摘要
住房抵押贷款证券化已进入到批准实施阶段,为使其顺利实施,除应制定专门的资产证券化立法之外,还应当注意同公司法、合同法、证券法、担保法和商业银行法等的协调。从证券化机构(SPV)的设立及运作、资产转让、证券发行、交易等阶段来考察,我国证券化的法律环境基本具备,但相关的细节仍需通过修改或解释予以完善。
Housing mortgage securitization will come into effect.For its success,we should not only make out special law on securitization but also coordinate the corporation law,the contract law,the security law,the guarantee law and the law of commercial bank.After researching into SPV's establishment and operation,asset transference,security issue and deal,the legal conditions in our country are basically eligible for securitization,but some law details on securitization must be modified and interpreted.
