摘要
公司治理结构是不完全契约的具体体现。由于契约的不完全性,往往造成缔约双方在未来收益上的不确定性,从而引发专用性资产的准租金问题。本文将着重从作用机理上探讨公司治理与准租金之间的关系,为公司治理的完善提供理论依据。
Corporate governance is connected with incomplete contract in the company. Because the contract is incomplete, it results in the uncertain distribution of return between both contractors. This paper mainly talks about the relation between corporate governance and quasi-rent from the point of mechanism and present theoretical thereunder for the perfection of corporate governance.
