摘要
企业重整制度已成为市场经济发达国家和地区为防止企业破产 ,提高市场经济运作效率、维护市场经济秩序的一项重要法律制度 ,而我国的《企业破产法》中未规定有重整制度 ,仅对全民所有制企业提出可以整顿且相关规定极为简陋。本文从在破产立法界极具影响的郑百文重组事件谈起 ,结合美国破产法在重整方面的相关规定 ,探讨重整制度的理论根基 ,并就我国的立法现状提出相应的立法建议和制度构想。
The system of the corporation reorganization is one of the most important law system,which can prevent the corporation from bankruptcy, enhance the efficiency of the economy management, and maintain the economy order. However, there aren't any rules prescribed in our 'the Law of Bankruptcy'. This paper sets out from the 'the Event of Reorganization of Zheng baiwen', meanwhile , combine some relative rules in 'American Law of Bankruptcy'. What the author wants to do is to discuss the theoretic groundwork of the System of the Reorganization and to make some suggestions to our legislation in this aspect.
