摘要
近年来我国已成为并购重组领域的一个新兴市场。上市公司较非上市公司具有多方面的制度创新优势,故外资通过各种方式收购上市公司股权已呈加速态势。外资对国有上市公司的并购,无疑会使上市公司产生从产权制度到公司治理结构的双重变迁,引起国有企业制度的变革。
China has been a new market of merger recently. The listed companies have advantages of institutional innovation so there are more and more mergers with state-owned listed companies caused by the foreign capital. Merger is a main form of property right transactions and the foreign capital's merger with state-owned listed companies will bring about changes both in property right systems and governance structure thus cause changes on the system of state-owned listed companies.
