摘要
证券内幕交易是违反证券法律法规行为或犯罪行为,它破坏了公平交易的基本法则,侵害了国家、社会或个人的合法权益,扰乱了正常的交易秩序。很多国家和地区法律对内幕交易制定了严厉的处罚措施,中国大陆法律在这方面的规章制度还不是很健全,并且市场也急需有这方面的法律法规出台,本文就此问题作一些讨论和建议。
Securities insider trading violates the Securities Exchange Act and the fundamental principle of fair deal. Therefore, it attacks the legal rights and interests of the nation, the society and the people and damages the normal trading order. Many countries have penalty measures concerning insider trading. While China' s law is not sound enough in this aspect. However, the securities market requires regulations dealing with insider trading as soon as possible. This passage will have some discussions and give some suggestions on this problem.
