摘要
研究企业的设立制度、企业资产股权化制度、企业法人机关行为等问题。指出现行企业立法方面的缺陷。认为市场经济是法治经济，市场活动必须以严密的法治网络进行规范，市场经济关系必须以法律进行科学归类和规范。同时建立企业规范化运作机制的法律对策。
This article thoroughly addresses the issue concerning building system, the stock right system, the behaviour of corporate organizations, etc., and points out the defects in the prevailing corporate legislation. It is noted that market economy, being a legalized economy, shall be regulated by a strict legal system, and the relationships of market economy shall be scientifically classified and standardized by legal means. Furthurmore, the corresponding legal measures for the standardized operating mechanism of enterprises are worked out.
