摘要
新《公司法》已正式采用了公司人格否认理论,但该理论不仅在名称、推理路径、与股东有限责任的关系、否认公司人格后股东承担责任的性质等方面存在问题,而且到底应该采取关联企业法模式还是采取公司人格否认理论模式也是值得研究的。
The new 《Company Law of the People's Republic of China》have formally adoptted the theory of disregard of corporate entity.There are some difficulties about its name,the analysis way,relationship with limited liability of shareholders and the nature of liability.Nevertheless,it's deserved to think about the choice between the model of the theory of disregard of corporate entity and the law of affiliate company.
