摘要
美国反托拉斯法成文法与判例法对搭售的认定:以产品功能关系理论、产品需求特征理论所判断的两种可分产品;搭售协议的性质和特征,即协议的形式不限以及不以同一销售者为必要;搭售违法性判断标准的发展,即考量由知识产权、产品独特性、市场占有率和信息不完全这四个因素所形成的足够的市场支配力、妨碍被搭售品的市场竞争以及缺乏作为抗辩的正当商业理由来展示美国反托拉期法对搭售进行规制的法律全景。
According to the U.S. antitrust law against tying, the operation of tying should consist of two elements. One is to be divided into two kinds of products and tying agreements and the illegality of tying, and the other is to be described as having enough market power. The development of the judgment of tying shows a panorama of the regulation of U.S. antitrust law on tying. The judgment is based on the following factors, namely, intellectual property, the unique- ness of the product, market share and incomplete information.
